These Website Terms of Use (these "Terms of Use") govern your access to and use of the website located at app.leadeconomy.com, together with any related pages, content, tools, and functionality made available through it (collectively, the "Site"). The Site is owned and operated by Lead Economy LLC, a Delaware limited liability company with its principal place of business at 2175 NW Raleigh Street, Suite 110, Portland, Oregon 97210 ("Lead Economy," "we," "our," or "us").
BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE AND OUR PRIVACY POLICY, WHICH IS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SITE. THESE TERMS OF USE INCLUDE A MANDATORY ARBITRATION PROVISION AND A CLASS ACTION WAIVER IN SECTION 13, WHICH AFFECT YOUR LEGAL RIGHTS.
1.1 The purchase of consumer insurance leads, live transfers, inbound calls, and related products through the Lead Economy platform is governed by the Lead Economy Auto Insurance Lead Purchase Terms and Conditions (the "Lead Purchase Terms"), which you must separately accept in order to register an account and purchase leads. These Terms of Use govern your general access to and use of the Site. In the event of any conflict between these Terms of Use and the Lead Purchase Terms with respect to the purchase, delivery, billing, return, or use of leads, the Lead Purchase Terms control.
2.1 The Site is intended solely for use by licensed insurance producers, agencies, brokers, carriers, and their authorized personnel, in each case for business purposes. The Site is not directed to consumers and is not intended for personal, family, or household use.
2.2 You must be at least eighteen (18) years of age and located in the United States to use the Site. By using the Site, you represent and warrant that you meet these requirements and that you have the authority to bind yourself and any entity on whose behalf you use the Site.
3.1 Certain features of the Site require an account. You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We may refuse, suspend, or terminate any account at any time in our sole discretion, with or without notice and with or without cause.
4.1 The Site and its content are provided for general informational purposes only. Nothing on the Site constitutes legal, regulatory, compliance, financial, insurance, or other professional advice, and no content on the Site is a substitute for advice from a qualified professional. Without limiting the foregoing, nothing on the Site constitutes advice regarding your obligations under the Telephone Consumer Protection Act, state telemarketing laws, Do-Not-Call rules, insurance producer licensing laws, or any other law applicable to your business. You are solely responsible for your own legal and regulatory compliance.
5.1 The Site, including all text, graphics, logos, icons, images, software, data compilations, page designs, and the selection and arrangement thereof, is owned by Lead Economy or its licensors and is protected by United States and international copyright, trademark, trade dress, and other intellectual property laws. "Lead Economy," the Lead Economy logo, and all related names and marks are trademarks of Lead Economy or its affiliates. You may not use any Lead Economy trademark without our prior written consent.
5.2 Subject to your compliance with these Terms of Use, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site for your internal business purposes. All rights not expressly granted are reserved.
6.1 You agree that you will not, and will not permit any third party to:
(a) access or use the Site for any unlawful purpose or in violation of any applicable law, rule, or regulation;
(b) use any robot, spider, scraper, crawler, or other automated means to access the Site, or harvest, scrape, or extract any data or content from the Site, including lead pricing or availability data;
(c) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of any software comprising the Site;
(d) interfere with or disrupt the operation of the Site, or circumvent any security or access-control measure;
(e) impersonate any person or entity, misrepresent your affiliation with any person or entity, or provide false licensure, appointment, or identity information;
(f) frame, mirror, or republish any portion of the Site without our prior written consent;
(g) introduce any virus, worm, malware, or other harmful code to the Site; or
(h) use the Site to develop, train, or improve any competing product or service.
6.2 We may investigate suspected violations of this Section and may suspend or terminate your access, remove content, and cooperate with law enforcement, in each case without notice and without liability.
7.1 If you submit any suggestion, idea, or other feedback regarding the Site or our services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, and otherwise exploit the Feedback for any purpose, without compensation or attribution.
8.1 By creating an account or submitting your contact information through the Site, you consent to receive transactional and account-related communications from us by email, telephone, and text message, including account verification messages, billing notices, lead delivery notifications, and service announcements. Message and data rates may apply. Any consent to receive marketing calls or texts is governed by the specific disclosures presented at the point where your telephone number is collected, and is not a condition of purchasing any goods or services. You may opt out of marketing communications at any time by following the instructions in the communication or by contacting us at [email protected].
9.1 The Site may contain links to, or integrations with, third-party websites, products, or services, including payment processors, analytics providers, and consent verification services. We do not control and are not responsible for third-party sites or services, and a link or integration does not constitute an endorsement. Your use of any third-party site or service is at your own risk and subject to that third party's terms and privacy practices.
10.1 We respect the intellectual property rights of others. If you believe that any content on the Site infringes your copyright, you may submit a notification under the Digital Millennium Copyright Act, 17 U.S.C. § 512, to our designated agent: Lead Economy LLC c/o General Counsel, 2175 NW Raleigh Street, Suite 110, Portland, Oregon 97210; Email: [email protected]. Your notice must include the information required by 17 U.S.C. § 512(c)(3). We may remove allegedly infringing content and may terminate the accounts of repeat infringers.
11.1 The Site and all content, materials, and information made available through it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from a course of dealing, usage, or trade practice. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components. Lead pricing, availability, and volume information displayed on the Site is illustrative, subject to change at any time, and not an offer.
12.1 To the maximum extent permitted by law, in no event will Lead Economy, its related companies, or each such company's respective directors, officers, members, employees, shareholders, affiliates, or agents be liable for any indirect, special, consequential, incidental, exemplary, or punitive damages of any kind (including without limitation damages for loss of revenue, profits, use, or data) arising out of or relating to your access to or use of, or inability to access or use, the Site, however caused and under any theory of liability, whether or not we have been advised of the possibility of such damages. To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms of Use or the Site will not exceed one hundred dollars ($100). The foregoing does not limit any liability that cannot be limited under applicable law, and does not apply to liability arising under the Lead Purchase Terms, which contain their own limitation of liability.
13.1 Governing Law. These Terms of Use are governed by the laws of the State of Delaware, without giving effect to any conflict-of-laws principle that would result in the application of the laws of another jurisdiction. The Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., governs the interpretation and enforcement of this Section.
13.2 Arbitration. Except as expressly set forth herein, any dispute arising out of or relating to these Terms of Use or the Site shall be resolved by binding individual arbitration administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures, before one (1) arbitrator, in Wilmington, Delaware, or such other location as the parties may mutually agree. The arbitrator, and not any court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms of Use, including any claim that all or any part of these Terms of Use is void or voidable. Judgment on the award may be entered in any court having jurisdiction. Either party may bring an individual action in small claims court for any claim that qualifies, and either party may seek provisional or injunctive relief in any court of competent jurisdiction in aid of arbitration or to protect its intellectual property.
13.3 Class action waiver. You and Lead Economy each agree that any proceeding will be conducted only on an individual basis and not as a plaintiff or class member in any purported class, collective, representative, mass arbitration, or consolidated proceeding. If this waiver is found unenforceable as to a particular claim, then this Section 13 shall be null and void as to that claim, and the remainder of these Terms of Use shall continue in full force and effect.
14.1 We may modify these Terms of Use at any time in our sole discretion. The "Last Updated" date above reflects the most recent modification. Material changes will be communicated by posting the updated Terms of Use on the Site and, where you maintain an account, by email or in-platform notice. Your continued use of the Site after the effective date of a modification constitutes acceptance of the modified Terms of Use. If you do not agree, you must stop using the Site.
15.1 We may suspend or terminate your access to the Site at any time, with or without notice and with or without cause. Sections 5, 7, and 10 through 16 survive any termination.
16.1 These Terms of Use, together with the Privacy Policy and, where applicable, the Lead Purchase Terms, constitute the entire agreement between you and Lead Economy regarding use of the Site. If any provision of these Terms of Use is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms of Use without our prior written consent; we may assign them without restriction. Questions about these Terms of Use may be directed to [email protected] or to Lead Economy LLC, 2175 NW Raleigh Street, Suite 110, Portland, Oregon 97210.
